ProCap Financial sold 50 Bitcoin to fund a share buyback, repurchasing more than 2% of its outstanding stock at roughly a 40% discount to net asset value. The move turns part of a Bitcoin treasury into a bet on the company’s own shares.

Why ProCap Financial sold 50 Bitcoin

The company sold 50 BTC and directed the proceeds straight into buying back its own equity, according to the company’s announcement. For related coverage, see ProCap Acquires $125M in Bitcoin for Treasury.

The repurchase covered more than 2% of shares outstanding, executed at an approximate 40% discount to net asset value, as reported alongside the release. For related coverage, see ProCap BTC Acquires $125M in Bitcoin for Treasury.

It is a notable pivot for a firm that has spent recent months stacking Bitcoin. ProCap earlier acquired 3,724 BTC to boost its holdings and, more recently, bought another 450 BTC. Now it is selling a slice back.

How the 40% discount buyback works

A repurchase at a discount to NAV means ProCap paid less for each share than the underlying assets backing it are worth. In plain terms, the company bought a dollar of value for roughly 60 cents.

That math is why management may see the buyback as an efficient use of capital: retiring undervalued shares can lift value for the shareholders who remain. The discount signals that the market was pricing ProCap’s stock well below the assets on its books.

The trade effectively swaps part of a liquid Bitcoin position for equity support, converting treasury reserves into a corporate action aimed at closing that NAV gap.

What it signals for Bitcoin treasury strategy

The decision shows treasury Bitcoin working as a liquid reserve, not just a buy-and-hold trophy. When the stock trades at a steep discount, a company can tap its BTC to act on it.

For investors, the takeaway is flexibility. The same reserve that gives ProCap Bitcoin exposure can be redeployed toward share support when management judges its own equity mispriced, an approach echoed in the wider debate over mNAV discounts across crypto treasury vehicles.

The trade-off is real. Selling BTC to buy shares trims Bitcoin exposure, and how the market reads that depends on whether it values the reduced stack or the narrowed discount more. ProCap, which has repeatedly framed itself as a Bitcoin-first balance sheet in its investor communications, is now testing whether shareholders reward that discipline.

So which matters more to the market: the Bitcoin ProCap gave up, or the discount it just started to close?
